1. Introduction
   
   This Agreement is a legal document which sets out your rights and obligations, and those of Holidaydate.com Inc., a company registered in Oregon under registration no. 249828-94 ("Holidaydate.com Inc."Holidaydate", "we" or "us"), in relation to this site and the services offered by Holidaydate through it (the "Holidaydate Service"). By using our Holidaydate Service, you agree to the terms of this Agreement.


2. Membership People who register for the Holidaydate Service must be at least 18 years of age. Holidaydate members may post their personal data and other details on the profiles page and other editable pages on the Holidaydate Service. Members may send messages to any other Holidaydate members. Members are allowed to navigate through all parts of the Holidaydate Service. Members may post messages on the Holidaydate Service. Members receive messages, emails and newsletters. Holidaydate is not an internet service provider; in order to use the Holidaydate Service, you must have internet access and all the software required for email and web usage. 
3.  Registration
   
   If you register for the Holidaydate Service use your correct name, email address and other details. You also are requested to add yourself to a location(present, visited before or planned to visit) on the Holidaydate Service.
   During registration, you may select a Holidaydate Nickname. Each Nickname must be of at least 7 characters in length and only contain simple numbers and the basic 26 characters of the alphabet. If we feel that a choosen Username is inappropriate we are under no obligation to disclose to you our reasons for revoking your use of a specific Username. Subject to the above, you may change or update your Username at any time from the Account Settings screen when logged in to your Holidaydate account.
   The data you provide on registration for the Holidaydate Service will be available to all Members and visitors of Holidaydate Service, unless you specify in the Privacy options for your Holidaydate Service account that you wish your profile only to be viewable by friends only.


4. Use of Holidaydate


5. Holidaydate grants you permission to use the Holidaydate Service as set out in this Agreement, provided that:
   Holidaydate Service must be used for your personal and noncommercial use only. Without prior written authorisation from Holidaydate it is strictly forbidden to copy, modify, distribute or alter any part of the Holidaydate Service. You must not use or integrate any robots, spyders that access our Website. You agree not to circumvent, disable or otherwise interfere with security related features of the Holidaydate Service or features that prevent or restrict use or copying of any Content. User generated content (texts, photos etc.) that you personally have made and posted, as between you and Holidaydate all intellectual property rights subsisting in and in relation to User generated content are owned by Holidaydate.


6. Holidaydate Points
   
   Holidaydate Points are activity points that Members cannot be used outside the Holidaydate Service or for products or services offered by third parties.
   The types of activities through which you may earn Free Holidaydate Points include but are not restricted to:
   Completing your profile
   Adding a photo
   Creating trips
   Writing reviews
   Creating locationtips
   Holidaydate reserves the right to add an expiry to the Holidaydate Points.
   Holidaydate Credits may not be converted into cash or any other value.


7. User Generated Content, Privacy Policy
   
   You shall be solely responsible for content made by you or through your Holidaydate Service account and the consequences of posting or publishing them. Holidaydate has the right to copy, modify, distribute, show in public and create derivative works from user generated content without limitation. Holidaydate has right to copy, modify, distribute, show in public and create derivative works on third party sites and services that link to the Holidaydate Service. You acknowledge that we are not and cannot be responsible for the behaviour of or material contributed by Members on the Holidaydate Service. You must be aware that Holidaydate does not generally pre-screen or monitor the material contributed by Users.
   Holidaydate`s privacy policy forms part of this Agreement, and by agreeing to this Agreement, you also give your consent to the way we may handle your personal data in that policy. Any content of the Holidaydate Website (including your personal information) is, of course, accessible to internet users.
   Holidaydate reserves the right to withdraw or modify one or more aspects of the Holidaydate Service. The Holidaydate Service may become unavailable or unserviceable.
   We reserve the right to suspend or terminate any Member's access to the Holidaydate Service. Any person who has been suspended or terminated must not re-register for, or re-access, the Holidaydate Service without our prior permission. If you see anything on the Holidaydate Service which appears to breach this Agreement, then please contact us to inform us of it by using the "Flag as Inappropriate" function, or by emailing us. We do not generally monitor content contributed by Members. We are reliant upon users to flag inappropriate content. Members must not:
   Place content on the Holidaydate Service for any business or commercial purpose;
   Use your access to the Holidaydate Service for sending of unsolicited spam email;
   Use the communication systems provided by the Holidaydate Service for any commercial purpose.
   Distribute content (texts, photos, etc.) infringing the intellectual property or other rights of any person or entity.
   Distribute content (texts, photos, etc.) breaching any applicable law.
   Distribute content (texts, photos, etc.) appearing to be offensive, threatening, obscene, pornographic, unreliable or misleading.


8. Disclaimer
   
   Holidaydate has no responsibility for, the truth or accuracy of any content available on the Holidaydate Service. If any third party site is linked to, or from, the Holidaydate Service, this does not mean that we endorse or have any responsibility for the site in question or anything which appears on it. Even though Members are prohibited from doing so, people may provide information, or otherwise behave, in a way that is unreliable, misleading or even illegal. Your use of the Holidaydate Service is entirely at your own risk. You release Holidaydate, its directors, contractors and employees, from all liability arising out of the Holidaydate Service and the content included.


9. Severability
   
   In the event that any term of this Agreement is held to be invalid or unenforceable by judicial decree or decision, the remainder of this Agreement shall remain valid and enforceable. Holidaydate reserves the right to change this Agreement from time to time, and post the new version on the Holidaydate Service.


10. Law/Waiver
    
    This Agreement shall be governed by and construed in accordance with the laws of the United States of America. Those who access or use the Holidaydate Service from other jurisdictions are responsible for compliance with local law.
    No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term, and Holidaydate`s failure to assert any right or provision of this Agreement shall not constitute a waiver of such right or provision.
